Terms of Service

1. Acceptance

These Terms govern your use of Agenda Panda, which is operated by SU LLC, a Wyoming limited liability company. By using Agenda Panda, you agree to these Terms. You must be at least 18 years old to use the service. If you do not agree, do not use the service.

2. Service Description

Agenda Panda helps users create, schedule, and publish social content through connected third-party platforms via a CLI, REST API, and web dashboard. The service is commercially provided by SU LLC.

3. Accounts and Security

• You are responsible for all activity under your account.
• You must keep credentials secure and notify us promptly of any unauthorized access.
• You are responsible for the connected social accounts and the permissions you grant.

4. Billing and Subscriptions

Agenda Panda offers Free, Pro, and Business subscription plans. Paid plans are billed monthly and renew automatically unless cancelled.

• Payments are processed by Stripe. By subscribing, you agree to Stripe's terms of service.
• Founding member pricing is locked for the lifetime of the subscription. This rate applies as long as the subscription remains active and is not cancelled.
• Cancellations take effect at the end of the current billing period. Access continues until that date.
• We do not offer refunds for partial billing periods.
• We reserve the right to change pricing for new subscribers with reasonable notice. Existing subscribers on founding rates are not affected.

5. Acceptable Use

• Do not use Agenda Panda for unlawful, abusive, or fraudulent activity.
• Do not attempt to bypass platform rules, security controls, or rate limits.
• Comply with the policies of any connected social platform.

6. Third-Party Platforms

Your use of X, LinkedIn, Facebook, Instagram, Threads, Bluesky, TikTok, or other platforms is also subject to those platforms' terms and policies. We are not responsible for third-party outages, API changes, or account enforcement actions.

7. Disclaimer and Limitation

The service is provided on an "as is" basis without warranties. To the maximum extent permitted by law, Agenda Panda is not liable for indirect, incidental, special, consequential, or punitive damages. Our total liability for any claim arising from your use of the service is limited to the amount you paid us in the three months prior to the event giving rise to the claim.

8. Termination

You may stop using the service at any time. We may suspend or terminate access for violations of these Terms or to protect service integrity and security.

9. Changes to These Terms

We may update these Terms from time to time. When we make material changes, we will notify you by email at least 14 days before they take effect. Continued use of the service after that date constitutes acceptance of the updated Terms.

10. Governing Law

These Terms are governed by the laws of the State of Wyoming, excluding its conflict of laws principles. Unless applicable law requires otherwise, disputes arising out of these Terms or your use of the service will be resolved in the state or federal courts located in Wyoming.
